Welcome to Resonaa. These Terms and Conditions ("Terms") govern your access to and use of the Resonaa conversation intelligence platform, including all associated services, features, applications, and content (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

Resonaa is an AI-powered conversation intelligence platform that provides:

• Call and conversation recording, analysis, and categorization
• Performance analytics, dashboards, and reporting
• Integration with CRM, meeting platforms, and communication tools
• AI-powered tools for coaching, insights, and report generation
• Ticket and support management with auto-categorization

We reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time without prior notice.

3. User Accounts

3.1 Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with account security requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account and access to the Service if you violate these Terms or engage in fraudulent, harmful, or illegal activities.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Upload or transmit viruses, malware, or any malicious code
• Attempt unauthorized access to the Service, systems, or networks
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any copyright or proprietary notices
• Use the Service to violate the privacy or rights of others
• Resell, rent, or lease the Service without explicit permission

5. Data and Content Ownership

5.1 Customer Data

You retain all rights, ownership, and interest in your data ("Customer Data"), including recordings, transcripts, and content you upload or create using the Service. You grant us a limited license to process Customer Data solely to provide and improve the Service.

5.2 Recording Consent

You are responsible for obtaining all necessary consents and permissions from participants before recording or analyzing any conversations. You must comply with all applicable laws regarding call recording and consent.

5.3 Resonaa Intellectual Property

The Service, including all technology, software, trademarks, and content, is the exclusive property of Resonaa and its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

6. Subscriptions and Payment

6.1 Fees and Billing

Service fees are specified in your subscription plan. You agree to pay all applicable fees according to the billing terms specified at the time of purchase. All fees are non-refundable unless expressly stated otherwise.

6.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Renewal fees will be charged to your payment method on file.

6.3 Cancellation

You may cancel your subscription at any time through your account settings. You will retain access to the Service until the end of your current billing period.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or available without interruption. You use the Service at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, Resonaa and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or related to your use of or inability to use the Service.

In any event, our total liability shall not exceed the amount you paid to us during the 12 months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Resonaa and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or costs, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the Dubai International Arbitration Centre (DIAC) arbitration rules.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Resonaa regarding the Service.

12.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12.3 Waiver

No failure to exercise, or delay in exercising, any right or provision of these Terms shall constitute a waiver of such right or provision.

12.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
